ETF Inflows/Outflows: EWJ, KWT, EEMV, SMLV

Inflows
Looking today at week-over-week shares outstanding changes among the universe of ETFs covered at ETF Channel, the largest inflow was seen in the iShares MSCI Japan ETF (EWJ), which added 13.2 million shares, or a 1.2% increase week over week.

And on a percentage change basis, the ETF with the largest increase in inflows was the Solar Energy ETF (KWT), which added 100,000 shares, for a whopping 33.3% increase in outstanding shares. Among the largest underlying components of KWT, in morning trading today First Solar (FSLR) is down about 1.1%, and SunEdison (SUNE) is lower by about 0.6%.

Outflows
Turning today to week-over-week shares outstanding changes among the universe of ETFs covered at ETF Channel, the largest outflow was seen in the iShares MSCI Emerging Markets Minimum Volatility ETF (EEMV), which shed 2 million shares, or a 4.3% decrease week over week.

And on a percentage change basis, the ETF with the largest outflow was the SPDR Russell 2000 Low Volatility ETF (SMLV), which lost 50,000 of its shares, for a whopping 33.3% decline in outstanding shares. Among the largest underlying components of SMLV, in morning trading today Curtiss Wright (CW) is off about 1%, and Sotheby's (BID) is higher by about 2.8%.

2 Airline Stocks You Really Should Own in 2014

 

BALTIMORE (Stockpickr) -- "If you want to become a millionaire, start off as a billionaire and buy an airline." So goes the conventional wisdom of airline investing.

And for years, that advice has been dead on the money; airline stocks have done a good job of enriching bankruptcy attorneys and few others. In fact, it's difficult to even look at historical airline stock performance in the last decade or two simply because so many have gone out of business. So yes, the conventional wisdom says you'd have to be nuts to own airline stocks.

But as I'm about to show you, the conventional wisdom is wrong this time.

Why Investors Hate Airlines

Airlines are one of the go-to examples when people talk about cyclical industries. Cyclical doesn't mean straight down, though. Instead, it means that after every painful long-term correction, there's some exuberance to be had. And right now, we're entering "buy mode."

So why do investors hate airlines in the first place?

To be sure, there are some big headwinds in the airline business. First, it's capital-intense. New jets cost a fortune, so there are some big fixed costs that need to get vaulted before an airline can book its first penny of profit. Ongoing maintenance isn't cheap either. The safety record for U.S. air carriers is stellar for good reason: The FAA requires airlines to maintain their planes, pilots and crew to a high standard.

Variable costs aren't much better. Far and away, the biggest variable cost for air carriers is fuel. And with the upward trajectory of crude prices for the last few decades, it's no wonder that airlines have struggled to stay profitable. But fuel costs aren't a one-way street.

Instead, airlines have three big weapons they can use against the climbing cost of crude: hedging, fuel efficiency and rate hikes. While hedging has lost favor with many carriers (because it's hard to do right and easy to do wrong), more efficient aircraft and rising airfares have been working hard to boost margins at airlines.

Both of those fixes are slow. Higher efficiency means cutting huge checks for new planes, and airfare increases risk ceding market share to rivals. But both have made a material difference in airline profitability in the last few years.

Industry Changes Are Afoot

Another key trend that's pumping profits into airlines has been industry consolidation. In the last few years we've seen Delta Air Lines (DAL) swallow up Northwest, United and Continental merge together to form United Continental (UAL), and Southwest (LUV) buy AirTran, in addition to scores more lower-profile combinations of every shape and size.

A proposed merger between American Airlines parent AMR (AMR) and US Airways Group (LCC) is the latest big-legacy combination to hit the headlines.

Industry consolidations cut costs, they improve efficiency, and they improve airlines' pricing power on their most lucrative routes.

The industry shakeups have been dramatic enough that you don't even need to crack a 10-K filing to see that's true. Instead, just ask a frequent flier with elite status whether it's gotten easier or harder to snag those complimentary upgrades on their trips. Flight occupancy has reached a record-high 80.3% this year, according to IATA.

Today, the planes are more full, and less profitable routes have been eliminated. The end result is bigger profits for airlines. And that's putting record industry revenue within reach for 2014.

A Solid Technical Time to Buy Airline Stocks

Ultimately, none of that fundamental improvement matters if the market doesn't notice it.

But airline stocks have been on fire this year, stomping what's already been a strong year for the S&P 500. From a technical standpoint, the Dow Jones U.S. Airlines Index looks well-positioned for more upside even following a nearly 85% rally year-to-date:

Airlines spent some time consolidating sideways this summer, bleeding off some overbought momentum after a fast start to the year. But the industry broke out again in the middle of September, and it's just now starting to find its legs again.

Looking at the index from a relative strength basis, we're actually seeing even stronger outperformance over the S&P this quarter than we saw to start the year. That's a very strong signal that now's the time to be a buyer.

So, with all that in mind, which airline stocks make sense to buy?

For starters, individual stocks are your only choice. As of this year, there aren't any more exchange-traded funds that track airline stocks. But I think that just two names offer the best of all worlds in the airline industry right now.

Delta Air Lines

Believe it or not, old-school legacy carrier Delta is the best-in-breed airline stock right now. Delta is one of the country's oldest carriers and one of the largest airlines in the world, with more than 720 aircraft serving 247 mainline destinations globally. And it makes sense to own Delta if only for the stellar execution this company has churned out in recent years.

Delta's margins have become huge. The firm was able to drive 13% of every sales dollar directly down to its bottom line in the most-recent quarter. Even if that feat can't be sustained indefinitely, it's a promising accomplishment nevertheless. Delta's balance sheet leverage is manageable, especially considering nearly $4 billion in cash that the firm currently holds in its coffers.

One of the most compelling things about Delta is that despite its legacy reputation, the firm is actually one of the most diversified names in the airline business. Besides its regular brand, Delta owns a stake in Virgin Atlantic, and it operates a private jet charter business. As revenues climb in 2014, Delta's operational prowess should help it reward its investors the most.

Southwest Airlines

One corner of the market that Delta has yet to crack successfully is discount air travel. The firm's Song brand landed for the last time in 2006, reverting back to mainline Delta livery in an effort to cut costs. Southwest Airlines is still the best low-cost carrier play more than four decades after pioneering the model.

Southwest's point-to-point network to nearly 100 destinations eschews the hub and spoke approach seen at legacy carriers. As a result, consumers looking for direct flights at non-hub locations get considerable convenience by booking with LUV. The firm was also the first to roll out a single-aircraft model across an entire fleet, dramatically reducing maintenance costs and keeping customer experience uniform.

Now, as LUV adds on new, more lucrative routes such as Hawaii, Cabo and Cancun, shareholders stand to benefit. Southwest has historically been one of the most effective fuel cost hedgers as well, something that reduces a lot of commodity risk when it's done right. While there's no shortage of publicly traded low-cost carriers out there, LUV is the one to own.

Three Scenarios for Gold

We see three potential scenarios for gold; to invest without having these scenarios in mind is simply foolish, says resource specialist Larry Edelson in Money and Markets.

First, it's bottoming. I can't tell you precisely when, or at what price, but I have every reason to believe that gold is now in the timeframe for a bottom, and a major bottom at that.

In fact, it may have already bottomed at $1,178 back in late June. That is possible. Or it may dip back to near $1,178 one last time, soon, or even after a big rally. Or it may just explode higher here and now.

It is impossible for me to say with any certainty. For anyone to say, actually. All I can tell you is, again, that all of my models indicate that gold is very near, or already may have seen, an important bottom.

Second, trying to time the exact day, or even the exact week, and the exact price, would simply be foolish. That said, let me give you the three scenarios I see for gold.

If it seems like I am talking out of both sides of my mouth, let me assure you that I am not. I am merely giving you the three most likely scenarios for gold going forward, scenarios you will need to keep in mind to get properly positioned, so you can minimize risk and maximize potential profits.

Scenario #1:

Gold's low at $1,178 in late June was the major bottom. In this scenario, gold must now confirm it by moving and closing above $1,449.50 on a Friday weekly basis, followed by a weekly close above $1,605.50.

So far, gold has taken out important short-term resistance at the $1,338 level. That does indeed imply a further rally, with the next important level of resistance at the $1,400 level, followed by $1,449.50.

This is now becoming the highest probability projection. But still, as in life, nothing is certain, so we must keep an open mind toward the next scenario.

Scenario #2:

Gold continues to rally, as high as $1,605.50, but fails to close above $1,449.50, or $1,605.50 on a weekly closing basis.

Gold then trades back down, even as low as the $1,265 level in early 2014, and then begins another move higher, one that eventually gives us the buy signals we need to confirm the end of the bear market and the beginning of the next leg up. The $1,178 June 2013 low holds, but gold swings wildly before taking off for good.

Scenario #3:

Gold continues to rally, as high as $1,605.50, but fails to close above $1,449.50, or $1,605.50 on a weekly closing basis, and then collapses into a major new low in 2014.

Whereas a new low below $1,178 was the highest probability before, it is now the lowest probability scenario. But we simply cannot throw it out the window.

In this scenario, we see a decent rally in the weeks ahead, but it fails to issue major confirming buy signals, and instead, trades lower, as in Scenario #2 above.

But instead of holding major support at the $1,265 level early next year, gold crashes right through the June 2013 low at $1,178 and makes a new low down at major system support at the $1,035 to $1,050 levels.

Now, I fully realize you might not like anything I just told you, that you think I'm hedging my gold forecast, or talking out of both sides of my mouth. Or that you like Scenario #1, the most bullish, and you don't like, or agree, with the other two scenarios.

That's okay. I am not trying to win a popularity contest. I am not here to tell you what you want to hear. My job is to tell you what I see ahead, based on my tried-and-true models and indicators, and without any bias.

I always call them like I see them, and precisely the way I would put my own money on the line, which brings me to the question, "What should you do now in gold? In silver? In mining shares?"

As you can tell from the above three scenarios, we are likely to see gold now rally into year-end and as high as $1,605.50 or even higher.

That sounds really exciting, right? Heck, if that kind of rally were to materialize, it would be gold's best performance in almost three years.

But unless gold closes above $1,449.50 and $1,605.50 on a Friday closing basis, then the gold rally would be for naught, it would be nothing but a bear market rally. And if you loaded up too much on gold, it would backfire on you.

So instead, now is merely the time to begin to test the waters. You don't go all in, you don't over commit, you don't become impatient, and you don't get overly emotional.

You map out your strategy based on all the evidence and data you have, and then you focus most of your energy on controlling the unknowns, your risk. That's how the most successful investors and traders make the most money, by controlling, and indeed, insuring against, the unknowns.

For gold, that means long-term investors can start buying gold again lightly, committing at this time, no more than 5% of your funds available for investing in gold, being fully aware that we do not have full confirmation yet that the low has been made. Testing the waters with up to a 5% position will help limit your risk.

For traders, you trade leverage positions, but hedge your bets with limited risk, inverse ETFs with options, or even spread your futures strategy both long and short.

Basically, you put yourself in a position to profit from a rally from a bottom in gold if we have already gotten it, yet you take out some insurance in case you're wrong.

As for silver, this may or may not surprise you, but I would continue to steer clear of the metal. There is a chance silver has not bottomed yet, even if gold has. Hard to believe, I know, but that is what my models are telling me.

For mining shares, my models tell me they have not yet bottomed. Again, hard to believe, but most mining-share ETFs have taken out that important cyclical low they made back on August 6. That means lower lows are possible.

So, like silver, it is indeed possible that mining shares may still move lower, even if gold has already bottomed and even if gold stages a decent rally.

Hard to believe, yes, but that's what my models are telling me, and I never deviate from what they say. They have proven themselves over and over, time and time again. So, for now, mining shares are not yet primed for major investment.

Right now, I urge patience and emotional discipline. Those are always the two most important elements of successful trading and investing, especially near major market turning points.

Major market turning points offer tremendous opportunities for profit, but they are also the most dangerous. The markets never take any prisoners, so you want to make sure, through patience and emotional discipline, that you're not going to be one of its victims.

Develop a polices and procedures manual stat

Hi Gladys, I've owned a landscaping business for 14 years. I make a decent living and consider myself to be successful. But, I fall short in handling employee situations. I usually don't address issues related to vacation, time off or worker's comp until something happens. And I often don't give a reason for terminating an employee. I know that this is no way to run a business and friends have said that I should have the rules and regulations written down and copies given to employees so that they know what's up. That just seems like a lot of highbrow foolishness for a small outfit like mine. What do you think? -- S. E.

I often meet folks who start a business and think that because it's a small operation it doesn't need to operate as a structured business. Nothing could be further from the truth. If you are hiring people to work for you, both you and your workers should have something written to keep you both on the right track. This written document is called a policy and procedures employee manual.

You wrote, "seems like a lot of highbrow foolishness." Maybe it would be more palatable to you if you change how you think of a written polices manual. Instead of viewing it as a foolish intrusion, consider it as a way of expressing your vision and goals for your company and your employees. Also think of it as a tool that can help to keep you on track toward the growth of your company.

You can find books and templates to guide you in developing an employment policies manual. Here are a few things that come to my mind that can get you off to a good start:

Terminating an employee can be a tough situation and it is important to know what the law has to say about this.

As far as I know, employment in the United States is considered "at will." This means that either party is free to end the employment with or without notice, as long as there is no binding contract. Double check this with a lawyer and make sure that you and your workers fall under the "at will" rule in ! the state where you do business.

Worker's compensation, unemployment benefits (if you offer any), and termination polices on both parts should be spelled out in detail so that you are clear on the pros and cons of being an employee of your company.

I recall an entrepreneur called me one time to see how she could go about suing a former employee to prohibit him from collecting unemployment. During our conversation, I discovered that the woman had eliminated several positions due to a decrease in her business. She got upset with me when I told her that her former employee was entitled to unemployment comp.

In another case, I remember working with an entrepreneur who had a couple of employees who were working full time in his business and collecting unemployment at the same time. When I questioned the business owner, he seemed clueless as to how his employees could also be collecting unemployment. When I spoke with the employees in question, they said that several friends had told them that this was done all the time as a way of earning extra money. It seemed that both the entrepreneur and his employees were unaware of proper procedures, not to mention the law and possible penalties for violating it.

Get busy putting together your policies and procedures employee manual and you can make it easy by simply making of list of some of the things that you have had to address in the past. A short list could include sick time, vacations, worker's compensation, drug and alcohol use on the job and cellphone usage.

I once had a client who owned a janitorial service. He had the contract to clean several retail clothing stores after hours. His contract was terminated because the three employees responsible for cleaning one of the stores would drink liquor while cleaning and once they got drunk they would start dancing with the mannequins. Once both the cleaning and the dancing was complete the workers! would le! ave the mannequins laying on the floor and in some cases with missing parts. A hidden camera disclosed these shenanigans.

I also remember being invited by a friend to one of her yoga classes. I was looking forward to a relaxing yoga session. But, just as the instructor of the class had moved us into the shoulder stand, her cellphone rang. I heard her say "Oops, I gotta grab this." And there we were, left with our toes pointing to the ceiling and balancing our body weight on our neck and shoulders while she answered her phone call.

Make life easier for yourself, your workers and your customers, not to mention the long-term benefits of making sure you comply with state and federal laws: Develop an employee manual ASAP.

The Great American Wall Of Worry

Traders and investors all around the world is having trouble climbing over the wall of worry/fear with the US stock market, and rightly so. There is a lot of things taking place and unfolding that carry a high level of uncertainty. Let's face it, who wants to invest money into the market when it's hard to come by (high unemployment, banks are still extremely tight with their money, companies are nowhere near wanting to hiring new staff).

The hard pill to swallow is the fact that the stock market loves to rise when uncertainty is high. It's almost doing it just to drive investor's nuts who sold out near market bottom or recent correction. You must overcome the urge to short the market when the economy looks so bearish in the years ahead, and continue to trade with the trend.

Below you can see the fear index. The chart is self-explanatory showing where it should move next. But if you are not familiar with the VIX then here is definition by investopedia:

"The first VIX, introduced by the CBOE in 1993, was a weighted measure of the implied volatility of eight S&P 100 at-the-money put and call options. Ten years later, it expanded to use options based on a broader index, the S&P 500, which allows for a more accurate view of investors' expectations on future market volatility. VIX values greater than 30 are generally associated with a large amount of volatility as a result of investor fear or uncertainty, while values below 20 generally correspond to less stressful, even complacent, times in the markets."

After reviewing the VIX chart above which points to stocks nearing a level of selling pressure, then review the chart below we come to a conclusion that a minor pullback of 2-5% is likely to take place in the next week ortwo.

The divergence in the Relative Strength Index is a bearish sign for the broad market. While I feel a pullback is do and needed for the market to regroup, it is important to review the seasonality chart and know that we are entering one the strongest times of the year for stocks.

Again, using the data from the previous two charts along with this graph clearly shows that a pullback in the stocks is likely going to be bought back up by the brave investors willing to override their fear and go with the trend. In short, expect the stock market to correct in the next week or two. But once we get a correction of two percent or more, be prepared for buyers to step back in and buy things up into year end.

A catastrophe excess policy provides protection to the counterparty from the accumulation of primarily property losses arising from a single loss event or series of related events. Catastrophe and individual risk policies may provide amounts of indemnification per contract and a single loss event may produce losses under a number of contracts. U.S. Investment Corporation (USIC), through its three subsidiaries led by United States Liability Insurance Company, is a specialty insurer that underwrites commercial, professional and personal lines of insurance on an admitted and excess and surplus basis. Policies are marketed in all 50 states and the District of Columbia through wholesale and retail insurance agents. USIC companies underwrite and market 109 distinct specialty property and casualty insurance products. Medical Protective Corporation (MedPro) is based in Fort Wayne, Indiana. Through its subsidiary, the Medical Protective Company, MedPro is engaged in primary medical professional liability coverage and risk solutions to physicians, dentists, other healthcare providers and healthcare facilities.

Railroad Business

Through BNSF Railway, BNSF operates a railroad network in North America with approximately 32,000 route miles of track (excluding multiple main tracks, yard tracks and sidings) in 28 states and two Canadian provinces as of December 31, 2011. BNSF owns approximately 23,000 route miles, including easements, and operates on approximately 9,000 route miles of trackage rights that permit BNSF to operate its trains with its crews over other railroads��tracks. As of December 31, 2011, the total BNSF Railway system, including single and multiple main tracks, yard tracks and sidings, consisted of approximately 50,000 operated miles of track, all of which are owned by or held under easement by BNSF except for approximately 10,000 route! miles op! erated under trackage rights.

BNSF is based in Fort Worth, Texas, and through BNSF Railway Company operates railroad systems in North America. In serving the Midwest, Pacific Northwest, Western, Southwestern and Southeastern regions and ports of the country, BNSF transports a range of products and commodities derived from manufacturing, agricultural and natural resource industries. Over half of the freight revenues of BNSF are covered by contractual agreements of varying durations. Utilities and Energy Businesses

MidAmerican�� businesses are managed as separate operating units. MidAmerican�� domestic regulated energy interests are comprised of two regulated utility companies serving more than three million retail customers and two interstate natural gas pipeline companies with approximately 16,600 miles of pipeline and a design capacity of approximately 7.7 billion cubic feet of natural gas per day. Its United Kingdom electricity distribution subsidiaries serve about 3.9 million electricity end-users. In addition, MidAmerican�� interests include a diversified portfolio of domestic independent power projects, a hydroelectric facility in the Philippines and residential real estate brokerage firm in the United States.

PacifiCorp is a regulated electric utility compa! ny headqu! artered in Oregon, serving regulated retail electric customers in portions of Utah, Oregon, Wyoming, Washington, Idaho and California. The combined service territory�� diverse regional economy ranges from rural, agricultural and mining areas to urban, manufacturing and government service centers. As a vertically integrated electric utility, PacifiCorp owns approximately 10,600 net megawatts of generation capacity. MidAmerican Energy Company (MEC) is a regulated electric and natural gas utility company headquartered in Iowa, serving regulated retail electric and natural gas customers primarily in Iowa and also in portions of Illinois, South Dakota and Nebraska. The natural gas pipelines consist of Northern Natural Gas Company (Northern Natural) and Kern River Gas Transmission Company (Kern River). Northern Natural is based in Nebraska and owns interstate natural gas pipeline systems in the United States reaching from southern Texas to Michigan�� Upper Peninsula. Northern Natural�� pipeline system consists of approximately 14,900 miles of natural gas pipelines. Northern Natural has access to supplies from mid-continent basin and provides transportation services to utilities and numerous other customers. Northern Natural also operates three underground natural gas storage facilities and two liquefied natural gas storage peaking units.

Kern River is based in Utah and owns an interstate natural! gas pipe! line system that consists of approximately 1,700 miles and extends from the supply areas in the Rocky Mountains to consuming markets in Utah, Nevada and California. Kern River transports natural gas for electric utilities and natural gas distribution utilities, oil and natural gas companies or affiliates of such companies, electricity generating companies, energy marketing and trading companies, and financial institutions. The United Kingdom utilities consist of Northern Powergrid (Northeast) Limited (Northern Powergrid (Northeast)) and Northern Powergrid (Yorkshire) plc (Northern Powergrid (Yorkshire)), which own a substantial United Kingdom electricity distribution network that delivers electricity to end-users in northeast England in an area covering approximately 10,000 square miles. The distribution companies primarily charge supply companies regulated tariffs for the use of electrical infrastructure. MidAmerican also owns HomeServices of America, Inc. (HomeServices), a full-service residential real estate brokerage firm in the United States. HomeServices also offers integrated real estate services, including mortgage originations through a joint venture, title and closing services, property and casualty insurance, home warranties, relocation services and other home-related services. It operates under 22 residential real estate brand names with over 14,000 sales associates and in nearly 300 brokerage offices in 20 states.

Berkshire�� apparel manufacturing businesses include manufacturers of a variety of clothing and footwear. Businesses engaged in the manufacture and distribution of clothing products include Fruit of the Loom, Inc. (Fruit), Russell Brands, LLC (Russell), Vanity Fair Brands, LP (VFB), Garan and Fechheimer Brothers. Berkshire�� footwear businesses include H.H. Brown Shoe Group, Justin Brands and Brooks Athletic. Fruit, Russell and VFB (together FOL) is primarily a vertically integrated manufacturer and distributor of ba! sic appar! el, underwear and athletic apparel and products. Products, under the Fruit of the Loomand JERZEES labels are primarily sold in the mass merchandise and wholesale markets. In the VFB product line, Vassarette, Bestformand Curvationare sold in the mass merchandise market, while Vanity Fairand Lily of Franceproducts are sold in the mid-tier chains and department stores. FOL also markets and sells athletic uniforms, apparel, sports equipment and balls to team dealers; college licensed tee shirts and fleecewear to college bookstores and mid-tier merchants; and athletic apparel, sports equipment and balls to sporting goods retailers under the Russell Athleticand Spaldingbrands. Additionally, Spaldingmarkets and sells balls in the mass merchandise market and dollar store channel. During the year ended December, 31, 2011, approximately 30% of FOL�� sales were to Wal-Mart. Garan designs, manufactures, imports and sells apparel primarily for children, including boys, girls, toddlers and infants. Products are sold under its own trademark Garanimalsand private labels of its customers. Garan also licenses its registered trademark Garanimalsto independent third parties. Garan conducts its business through operating subsidiaries located in the United States, Central America and Asia. Substantially all of Garan�� products are sold through its distribution centers in the United States to national chain stores, department stores and specialty stores. In 2011, over 90% of Garan�� sales were to Wal-Mart. Fechheimer Brothers manufactures, distributes and sells uniforms, principally for the public service and safety markets, including police, fire, postal and military markets. Fechheimer Brothers is based in Cincinnati, Ohio.

Justin Brands and H.H. Brown Shoe Group manufacture and distribute work, rugged outdoor and casual shoes and western-style footwear under a number of brand names, including! Justin, ! Tony Lama, Nocona, Chippewas, Born, Sofft, Carolina, Double-H Boots, Corcoran, Matterhornand Kork-Ease. Brooks Athletic markets and sells running footwear to specialty retailers under Brooksbrand. In 2011, Brooksachieved #1 market share in footwear with specialty retailers. A volume of the shoes sold by Berkshire�� shoe businesses are manufactured or purchased from sources outside the United States. Products are principally sold in the United States through a variety of channels including department stores, footwear chains, specialty stores, catalogs and the Internet, as well as through Company-owned retail stores.

Acme manufactures and distributes clay bricks (Acme Brickand Jenkins Brick), concrete block (Featherlite) and cut limestone (Texas Quarries). In addition, Acme distributes a number of other building products of other manufacturers, including glass block, floor and wall tile and other masonry products. Acme also sells ceramic floor and wall tile, as well as marble, granite and other stones through its subsidiary, American Tile and Stone. Products are sold primarily in the South Central and South Eastern United States through Company-operated sales offices. Acme distributes products primarily to homebuilders and masonry and general contractors.

Benjamin Moore & Co. (Benjamin Moore) is a formulator, manufacturer and retailer of a range of architectural coatings, available principally in the United States and Canada. Products include water-thinnable and solvent-thinnable general purpose coatings (paints, stains and clear finishes) for use by the general public, contractors and industrial and commercial users. Products are marketed under various registered brand names, including Regal, Superspec, Moorcraft, Moorgard, Aura, Nattura, ben, Coronado Paint, Insl-xand Lenmar.

Benjamin Moore and its manufacturing subsidiaries rely primarily on an independent dealer network for the distribution of its products. Its distribution network includes approximately 100! Company-! owned stores as well as over 4,500 third party retailers representing over 10,300 storefronts in the United States and Canada. Benjamin Moore�� Company-owned stores represent several multiple-outlet and stand-alone retailers in various parts of the United States and Canada serving primarily contractors and general consumers. The independent retailer channel offers an array of products including Benjamin Mooreand Insl-xbrands and other competitor coatings, wallcoverings, window treatments and sundries. Benjamin Moore also has three color stations located in regional malls that serve as brand marketing tools. In addition to the independent retailer channel, Benjamin Moore has recently begun to sell direct to the consumer through e-commerce sites and its customer care program, which includes national accounts and government agencies.

Johns Manville (JM) is a manufacturer and marketer of products for building insulation, mechanical insulation, commercial roofing and roof insulation, as well as fibers and nonwovens for commercial, industrial and residential applications. JM serves markets that include aerospace, automotive and transportation, air handling, appliance, HVAC, pipe and equipment filtration, waterproofing, building, flooring, interiors and wind energy. Fiber glass is the basic material in a majority of JM�� products, although JM also manufactures a portion of its products with other materials to satisfy the broader needs of its customers. JM regards its patents and licenses as valuable, however it does not consider any of its businesses to be materially dependent on any single patent or license. JM is headquartered in Denver, Colorado, and operates 40 manufacturing facilities in North America, Europe and China and conducts research and development at several other facilities. JM sells its products through a variety of channels, including contractors, distributors, retailers, manufacturers and fabricators.

MiTek is a provider of engineered connector products, engine! ering sof! tware and services and computer-driven manufacturing machinery to the truss fabrication segment of the building components industry. Primary customers are truss fabricators who manufacture pre-fabricated roof and floor trusses and wall panels for the residential building market, as well as the light commercial and institutional construction industry. MiTek also participates in the light gauge steel framing market under the Ultra-Spanname, manufactures and markets assembly line machinery used by the lead acid battery industry, manufactures and markets a line of masonry connector products and manufactures and markets air handling systems used in commercial building. MiTek operates on six continents with sales into approximately 90 countries. MiTek has 34 manufacturing facilities located in eleven countries and 45 sales/engineering offices located in 17 countries.

The Shaw Industries Group, Inc. (Shaw) is a carpet manufacturer based on both revenue and volume of production. Shaw designs and manufactures over 3,000 styles of tufted carpet, tufted and woven rugs, laminate and wood flooring for residential and commercial use under about 30 brand and trade names and under certain private labels. Shaw also provides installation services and sells ceramic and vinyl tile along with sheet vinyl. Shaw�� manufacturing operations are fully integrated from the processing of raw materials used to make fiber through the finishing of carpet. The Company's extended warranty business covers selected consumer and commercial goods and other risks, including personal computers; consumer electronics, such as televisions and home theater components; consumer appliances, such as refrigerators and washing machines; automobiles (excluding liability coverage); furniture, and heavy equipment. Specialty Program

The Company�� Specialty Program segment provides workers��compensation, package products, general liability, commercial auto liability, excess and surplus lines programs and other specialty commercial property and casualty insurance to a narrowly defined, homogeneous group of small and middle market companies. The type of risk covered by this segment is similar to the type of risk in Small Commercial Business but also covers, to a small extent, certain higher risk businesses. The coverage is offered through accounts with various agents to multiple insureds. Policyholders in this segment primarily include industries, such as retail, wholesale, service operations, artisan contracting, trucking, light and medium manufacturing, habitational and professional employer organizations. As of December 31, 2012, the Company underwrote 77 programs through 44 independent wholesale and managing general agents. Workers��compensation insurance consists approximately 33% of this business during the year ended December 31, 2012.

Personal Lines Reinsurance

The Company�� Personal Lines Reinsurance Segment has a 20% participation in the Personal Lines Quota Share, by which it receive 10% of the net premiums of the personal lines business. The Personal Lines Quota Share provides that the reinsurers, severally, in accordance with their participation percentages, will receive 50% of the net premium of the GMACI Insurers and assume 50% of the related net losses.
